By accessing or using the Notewave website, related applications, subdomains, or services (collectively, "Services"), creating an account, or agreeing to these Terms, you ("User," "you," or "your") agree to be bound by these Terms and the Privacy Policy. If you do not agree, you must not use or access the Services.

Additional Policies: These Terms incorporate by reference any additional guidelines, rules, or policies posted in connection with specific features of the Services. Electronic Communications: By using the Services, you consent to receiving electronic communications from us (e.g., via email, notices within the Services). Jurisdiction: You are responsible for ensuring that your use of the Services complies with the laws and customs applicable in your jurisdiction.

4. DESCRIPTION OF THE SERVICES

Notewave is an educational technology platform designed to help learners study more efficiently through AI-assisted content generation. Key features include:

• Generate Notes, Flashcards & Quizzes: Create notes and study materials, then generate flashcards and quizzes. Users may upload PDFs, provide YouTube links, or record audio to generate content. Original files are used transiently and are not stored on our servers.

• Personal Tutor: An AI-driven tutor that engages in conversations, answers questions, and explains content based on user-provided materials.

  The Services may continue to evolve, and we reserve the right to modify or discontinue, temporarily or permanently, any feature without notice.

5. USER CONTENT AND CONDUCT You may upload or submit textual, audio, visual, or other materials ("User Content") to the Services. You agree to the following:

License Grant: By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, translate, distribute, publicly display, publicly perform, and create derivative works from such content for the purpose of operating and improving the Services. Ownership & Permissions: You represent and warrant that you own or have all necessary rights to upload your User Content and that doing so does not violate the rights of any third party or any applicable law or regulation. Prohibited Content: You agree not to upload or share any content that (a) is unlawful, threatening, harmful, harassing, defamatory, obscene, or otherwise objectionable; (b) infringes upon any intellectual property or privacy rights; or (c) contains viruses or other harmful code. Monitoring & Removal: We reserve the right to monitor or review User Content at our discretion and to remove or disable access to any content for any reason, including violation of these Terms.

6. AI-GENERATED CONTENT DISCLAIMER

The Services include AI-generated materials (e.g., flashcards, quiz questions, and tutor responses). You acknowledge the following:

• Informational Use Only: AI-generated content is provided "as is" for educational or informational purposes; it is not guaranteed to be accurate or complete.
• User Verification: You are responsible for verifying that AI-generated content is correct and applicable to your needs.
• Not Professional Advice: AI-generated content is not a substitute for professional legal, medical, or other specialized advice.

7. PAYMENTS AND SUBSCRIPTIONS

Certain features or functionalities of the Services may require payment of fees:

• Subscription Plans: We may offer free and paid tiers; details about pricing and usage limits will be provided in the Services.
• Billing Cycle: Fees may be billed at the start of each billing period. You authorize automatic renewal charges.
• Refund Policy: Fees are non-refundable unless explicitly stated otherwise or required by applicable law.

• Feedback: By providing suggestions, ideas, or feedback related to the Services, you grant Notewave the right to use such feedback without restriction or compensation.

9. PRIVACY AND DATA PROTECTION

We collect, use, and share personal data in accordance with our Privacy Policy. By using the Services, you consent to our collection and use of your data as described therein. We process personal data in compliance with applicable data protection laws.

If you are accessing the Services from outside the United Kingdom, your data may be transferred to and processed in the United Kingdom or elsewhere. By using the Services, you consent to such transfers.

• Termination by Us: We may suspend or terminate your account if we believe you've violated these Terms or engaged in fraud or abuse.
• Effect of Termination: Your access will end immediately; we may delete or anonymize any content associated with your account.

12. DISCLAIMERS OF WARRANTIES

The Services are provided "AS IS" and "AS AVAILABLE". To the fullest extent permitted by law, Notewave disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.

We do not warrant that the Services will be uninterrupted, secure, error-free, or free from viruses. We cannot guarantee that the Services will meet your expectations.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Notewave and its affiliates are not liable for indirect, special, incidental, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total liability for any claim related to the Services will be limited to the amount you paid us (if any) in the twelve months prior to the claim, except where prohibited by law.

14. INDEMNIFICATION

You agree to defend and indemnify Notewave, its affiliates, and their officers, directors, and employees from and against any and all claims, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any rights.

15. DISPUTE RESOLUTION AND ARBITRATION

If you have a dispute, contact contact@notewave.ai first to attempt informal resolution.

If you cannot resolve the dispute informally within 30 days, the dispute will be resolved through binding arbitration under the rules of an appropriate arbitration body in the United Kingdom. You waive the right to participate in class actions or consolidated proceedings.

Either party may seek equitable relief for IP infringement without engaging in arbitration first.

16. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in the United Kingdom for the resolution of legal actions (except for disputes subject to arbitration as set forth above).

17. CHANGES TO THE TERMS

We reserve the right to modify or update these Terms at our discretion. We will provide notice of material updates via the Services or email. Continued use after changes indicates your acceptance. If you do not agree, stop using the Services.

18. MISCELLANEOUS

These Terms, the Privacy Policy, and any other legal notices constitute the entire agreement between you and Notewave regarding the Services.

• Severability: If any provision is found to be unenforceable, the remaining provisions remain in force.
• No Waiver: No delay or failure to exercise a right is a waiver unless in writing.
• Assignment: You may not transfer your rights or obligations without prior consent. Notewave may assign or transfer these Terms.
• Force Majeure: Notewave will not be liable for failures due to events outside of reasonable control (e.g., acts of God, strikes, or governmental actions).
• Relationship: Nothing in the Terms creates a partnership or employment relationship.

18A. COMMUNICATIONS AND PROMOTIONAL EMAILS

By creating an account and using our Services, you consent to receive promotional and marketing communications such as newsletters or offers at your associated email address.

• Consent: Your agreement to these Terms constitutes consent to receive promotional emails.
• Opt-Out: You can opt out via the unsubscribe link or by contacting contact@notewave.ai.
• Service Messages: Important service-related communications about accounts or Terms cannot be opted out of.
